MISSION STATEMENT
The Silver Springs Single Family HOA Board of Trustees is comprised of seven members.
Officers are President, Vice President, Secretary, Treasurer.
Other positions are Elected Trustee Nominee to MHOA, Architecture Rules Committee Chair, Compliance Committee Chair, and Communications. View: HOA Conflict of Interest Policy.
There is an important difference between Trustees and Paid Directors on a Board. Directors are an advisory council that hires and then supports the chief executive officer to run the company; they also receive a salary for their participation as frequently they hold no other interest in the company or on the Board.
A board of trustees is an elected group from peers who handle the rules and finances of a non-profit organization or a homeowners association. Trustees hold the NPO (Non-profit organization) in trust for the community and assures the independent homeowners are fairly represented. Members of non-profit boards are trustees who have little to do with the day-to-day running of the organization, duties are routinely delegated to a property management company and/or to homeowner committees.

Major Events: Every time we think the HOA board cannot be worse another gang of “officers” intrudes into the Nomination process to recycle the bad policies, contrived voting, and secret activities of the previous worse board. The duties of the v.p., secretary, treasurer, etc. are unattended by the elected, the duties are picked up at $150 per hour by a property management company the Owners have no part in hiring, approving their unseen contract, or directing their activities. The president’s main duties appear to be to make sure any one volunteering to assist in any aspect of the Association, that has input contrary to his agenda, is excluded and denied nomination approval.

Major Events: Paul Reddy’s forceful push to have Homeowners vote acceptance of the Richard’s Law CCRs continued from early 2018 to January 31, 2019. The meetings, attorney, Model HOA management company, tallied a bill of $13,000. The 117 Owners that provided input did not see their ideas included in the newly edited CCRs. Reddy lost the votes, the HOA board lost respect, the Owners lost $13,000. The above list of board officers and committees are indicative of the turmoil within the Board and Association.

Major Events: Richards Law was hired by the board to rehash the Morris & Sperry CCRs and Bylaws, to be discussed 10/2/18. Robertshaw scheduled the board meetings for every other month but has altered and lengthened the dates. He began the use of online “Tickets” for Homeowner communication with the Board. Robertshaw closes the Tickets before communication occurs; in March announced no one will be looking at the Tickets. The unsanctioned Underdrain Committee persists though the Homeowners have voted four times to “Ignore the Underdrains” chaired by Bill Noland since 2006.
Robertshaw apparently is a minimalist, “tiny” is his goal for most things, like the logo he and his wife imposed on the Association. He and manager, Ryan Dickey have a Document Retention policy that if it is not IRS required material it is to be shredded and disposed. Noland’s protege, Robertshaw, wrote a scalding email to a Homeowner saying not to ever step foot on his property, that he would consider it stalking and would press charges. He has also instructed the trustees that he does not want his contact information on any of the Board materials, he does not want the Homeowners to “hassle” or “harass” him. He actively remonstrates a Homeowner volunteer, shouting that he will never allow the inclusion of this person on any of the board committees (though there has been a nomination and there are plenty of vacancies) because the volunteer sitting as the chair of the underdrains committee, who is also the chair of the specious draft CCRs committee, has enmity toward this volunteer.
In early February, Rick Hovey resigned from the board committees he has been active on for a long time. No accolades from the trustees. Hovey moved to Ranch Place, sold his house on SLS-A- Lot 10. At the March 5, 2018 meeting he was asked, “Just in time to avoid the large upcoming Special Assessment debacle? So is this another forced Noland assessment like the one in 2010?

BOT: Ed Cody, Kaye Lillquist and Brian Zilvitis are returning trustees from last year’s board. Polly Reynolds has served previously on the HOA board. Bill Noland has not been elected by the HOA Board yet he has been the conflicted-interest chairman of the Homeowner’s voted down Underdrains Committee since around 2006; also Rick Hovey. The 2017 Morris Sperry Draft CCRs are insidious threats to private property. Too many corrections are needed, it will be necessary to start over or forget this project.
Major Events: This 2017 Board is the worst in our history, a new low in brazen disregard for the HOA Charter Docs by the Board of Trustees.
January 22, 2017 Brian Zilvitis emailed a letter to the Homeowners informing them that Morris Sperry had completed a DRAFT of the CCRs and Bylaws. No links, no hardcopies of these DRAFTS were provided to the Homeowners; a meeting was scheduled to discuss the CCRs on March 2, 2017. This meeting was a display of uproar and shock by the attending Homeowners. There was no further action on the Morris & Sperry Draft for the remainder of 2017.
-It is not in the BOT Minutes whether a bid process was used to replace PMA as the subdivision Property Management Company. The BOT Minutes do not report how a new company, Model HOA, came to be considered and selected to replace PMA. The BOT Minutes do not mention the PMA contract for $10,000 per year was increased for 2017 by PMA to $18,000, this sizeable increase precipitated the cancellation of the PMA annual contract. The BOT did not consider the work PMA performs for the MA, nor the additional work that will be required from PMA staff to monitor the DRAFT CCRs and Bylaws meetings with the Homeowners until 66 2/3% voted approval occurs, or if another re-write will be necessary. In Oct the BOT increased Dickey’s contract to $17,500 within $500 of what PMA had requested. Dickey bungled the Annual Meeting balloting and notice of the meeting was received the night before the meeting, not the required 10 days prior. The October Annual Meeting was run without a quorum (25 attendees) patterned after a very loose November Replacement Meeting. Collected ballots were discarded without counting. Vacancies on the board were from 1 Evans, 2 Lilliquist, 3 Cody, 4 Zilvitis. The Election was a sham with the BOT filling Evans vacancy a few days before the election with Noland though they had four viable candidates only three were on the proxy ballot. Candidates announced in September 2017 were 1. Hunt Williams, 2. Lucy Archer, 3. Joan Benson, 4. Elena Gladson, 5) Chris Bachman.

The BOT hired Model HOA with Ryan Dickey as manager and one other employee. Dickey implemented a “Ticket” procedure for Homeowner communication with the BOT. The effect of requiring “Tickets” to ask questions or provide concerns has been that the BOT is distancing itself from the Homeowners.
Model HOA was responsible for the improper one-day email notice to the Homeowners for the 2017 Annual Meeting and Election with a ballot neglecting to disclose all the candidates. The Meeting votes were collected as “voice votes” not the required written votes, and without a quorum. The projected 2018 Budget, without Homeowner approval, included $12,000 to the down voted underdrains (another example of the BOT disenfranchising the Homeowner votes to “Ignore the Underdrains); and allocated to Model HOA $17,500 after PMA was fired in Dec 2016 in response to requesting an annual fee of $18,000. The M&S specious Draft CCRs were not voted on. The new Architecture Guidelines were not provided to the Homeowners for review and a vote.

BOT: The BOT placed a number of unelected people in authority over their neighbors: Bill Noland (underdrains), Julia Loughlin (annual elections), Steve Fassett (Arc. Com), Lyn Cier (complaints regarding her suitability were lodged in 2008, 2009, 2013, 2014), Randy Cassidy (Elections), Rick Hovey (underdrains), Mari Doughtery; Non-resident Thomas Eddington on Arch. Com.
Major Events: Homeowners used Proxy/Ballots without a need for an assigned proxy agent. This prompted more votes to be submitted providing a quorum for the low attendance at the Annual October Meeting. Lucy Archer met in September with Brian Zilvitis to discuss Homeowner concerns. Zilvitis told Archer the BOT has purchased a multi-million dollar liability insurance policy to protect themselves from Homeowner lawsuits against the Trustees regarding fiduciary duty pertaining to the underdrains. Also learned that the underdrains are siphoning off the landscape water that Homeowners are applying to save their trees and gardens from the record high temperatures and rainless 2016 summer (tenth+ straight year of increasing drought in our area). Subdivision trees are exhibiting inordinate needle drop due to the paucity of water and high temperature.

Major Events: THIS IS THE YEAR THE HOA BOARD HIRED A PROPERTY MANAGEMENT COMPANY
PMA was hired by Hibdon, Milkis, Fassett without asking for the support of the Members. — Nov 4, 2013. Replacement meeting (22 attendees) election was manipulated by the inclusion of over 50% late and overvoted ballots. A request for a recount was made to the trustees and to PMA. The request was denied by this board. — On January 27, 2014, Gunter, Hovey and PMA silently recorded with the State the Silver Springs Single Family HOA as a DBA of the inactive 1979 Developer’s Silver Springs HOA as a ploy to support the furtive work performed since 2006 on the underdrains by Gunter, Noland, Hovey contrary to the votes and mandate of the Homeowners. First SS Board President Dale Bochetto delivered a letter stating the SSSF Homeowners were never members of the Developer’s HOA, never held office, never voted, never paid dues to DSSHOA. — MA continues with 1989 Draft Bylaws while accumulating a quarter of a million dollars in their various accounts. (see 2010 illegitimate Special Assessment forced by Bill Noland on all the Master Association Homeowners) — Homeowners idea submitted to use this windfall money for a clubhouse meeting facility or for another, larger, park pavilion, for use by all the MA subdivisions, to be built on the west end of the Park property. Denied by MA. —- After Gunter resigned Hovey assumed the helm before he was nominated or voted-in by the board — On August 7, 2014 Hovey requested from Lucy Archer a full investigation into the history of the underdrains and to obtain a statement of assigned responsibility from the County Attorney. Archer produced and delivered to Hovey an in-depth report and the statement from the County Attorney saying the underdrains were an issue between the homeowners and their board (see: 36 year defunct underdrain-system). It became evident that Hovey’s request had been a ruse, Hovey did not expect that Archer would find so much compelling information, the “smoking gun” he requested, in support of the Homeowner’s votes in 1986, 1994, 2014 to “Ignore the Underdrains”. Hovey’s letters from the Board to the Homeowners do not include mention nor use, nor inclusion on the BOT website, regarding the information opposing the underdrains. — Replacement meeting on November 3, 2014 included a write-in vote from the 70 attendees and an unannounced number of proxies to “Ignore the Underdrains” until the Silver Springs SF Neighbor Home Meetings Recommendations were completed, also until the SSSFHOA is removed as a DBA of the developers 1979 HOA. A seconded motion was passed to disclose during the meeting the number of votes cast by the Homeowners to “Ignore the Underdrains”. Rick Hovey, without conferring with the other trustees, would not allow the announcement of the number of homeowner’s votes to “Ignore the Underdrains”. — This board will also be known for incurring unnecessary debt by requesting advise on how to get away with nearly everything they did from two attorney’s ($350 an hr + $189 an hr), not to represent the Homeowners but to represent the conflicts of interest of a few and to willfully ignore the contributions of posted evidence and votes of the Homeowners.

Very few meetings scheduled, very little work performed, almost no communication with Membership. — October election did not obtain quorum. Replacement meeting election resulted in majority of ballots for Lucy Archer. 2008 Election Usurper Sue Pollard submitted a stack of ballots of questionable origin and hours after the election ballot deadline, another flaw of her ballots is that each had six nominee votes when only five were allowed. A request for a recount was submitted. (Sue Pollard sold her SS house 7/1/2014). — Hibdon, Milkis, Fassett hire a property management company in an effort to monitor the crony and unlawful activities of some entrenched board members who have created diminished trust in the position of trustee. — The three also initiated the completion of new Architecture Rules with increased fines for the 5 or so property owners who may need a stronger encouragement to comply. — The five proponents (Noland, Fuller, Gunter, Butler, Larson) of the defunct underdrain system voted to keep secret the documents they claim give them authority, and the HOA ownership and liability, for this unfinished 1979 attempt by the developer to sell lots to builders in Silver Springs. Nomination Committee included the two usurpers of the 2008 October Election who at this election changed the Bylaws during this meeting in an attempt to cover up their prejudiced elimination of 5 of the 9 nominees; 39 of 189 lots were represented at this Annual Election Meeting.

There was no introduction of the Nomination Committee. Votes were unverified, Usurpers claimed they had 102 proxy ballots.

Major Events: Board allowed the SSSFHOA website domain at www.silverspringssf.org to expire; — Noland as unelected MA board pres. imposed a special capital improvement assessment for the private little lake repairs without obtaining the vote approval from the property owners as required by the SSSFHOA CCRs and SSMA Bylaws; the Community Group was initiated to voice dissent regarding Board actions and SSMA questionable practices, the Board chose to ignore this dissent and neighborhood input and instead bully the Members into compliance. — the SSSF board president installed himself as chair of the Nomination Committee and along with his co-conspirator of the election irregularities of the 2008 and 2009 Annual Elections again manipulated the nominations by eliminating five nominees from the ballot and then attempting to change the SSSF Bylaws regarding nominees while the Annual Election was in process and while the ballots were being collected and counted, not providing the 10-day notice required by Bylaws;

(Committee established 6/5/2008- underdrains abandoned since 1979 were installed by S.S. East developer. Not included in the SSSFHOA Oct. 14, 1985 and 1994 CCRs, removed by approval of Homeowners via the 2008 Articles of Incorporation by Board and Association vote.) Summit County holds no mandate for the SSSFHOA or the SSHOA to own liability, to maintain or to repair the underdrains; and no mandate to take responsibility for Summit County and the Developers SSHOA agreements from 1979 to 1986. Major Events: October 13, 2008 Election was stolen from 150 Association Member votes and 81% participation at Annual Meeting; Usurpers (Pollard and Gunter) made unsupported allegations, angered Members in attendance, Pollard wrestled the ballots from Election chair; slandered the seven candidates on the ballot, spent over $8,000 of Association funds during October to December 2008 to hire attorney to cover-up their misdeeds – Mark Kohler: “Lawyers are Liars”; Usurpers slandered board secretary and candidates on ballot with false accusations which were never addressed as directed by their own motion; Usurpers prevented 7 newly elected trustees and 6 Committee Volunteers from serving the Community; The new Articles of Incorporation were approved unscathed; Board usurpers illegally voted to shut down HOA website as part of their cover-up; Usurpers ostracized board secretary from her board duties as part of their cover-up; Usurpers discontinued neighborhood monthly newsletter; Usurpers held 2009 board meetings in private residence and did not post their secret meetings in a move to hide their actions and ostracize elected Members; controlled the information new board members and Association Members received, and to exclude newly elected board members from attendance; Usurpers took board secretary/webmaster to court as an extension of their effort to cover up their actions but judge ruled in favor of secretary/webmaster; Overall board performed poorly as they were not allowed free exchange and information without usurper pres and v.p. censure.; Usurpers spent over $1,000 SSSF funds and $400 MHOA funds for annual picnic attended by 32 people; 1985 long- abandoned underdrain system was studied by Noland and began work (against advise of legal counsel and S.C. Council Chair). Noland plans were modified from original invasive plans to a low profile roto-rooting plan; MHOA dues were not returned to the pre-2004 amount as Noland promised now that the lakes’ dams have been financed by all the Members; MHOA has between $80,000 to $120,000 unaccounted for – not reported on MA P&L or Monthly Budgets. MA has not had an audit since it began in 1989.

On June 1, 2004 Skip Domenick told Summit County Commissioners that “it is not practical for the homeowners association to maintain the drainage system.” Commissioner Woolstenhulme commented that the problem is a homeowners’ problem and not the County’s responsibility. Commissioner Richer pointed out that the proper procedure is to inform all the homeowners for their disposition on the situation and to ascertain whether the homeowners are willing to accept a special assessment to get the work done. The Silver Springs Master Association is one of the largest in the Snyderville Basin and Chair Richer believed the costs pro-rated on a per-home basis would be minimal.”

Coca Cola made a commercial at our Lake Park including a large bear. Park pavilion was installed, hydroseeding and sod installed, two porta-potties were installed at the Park. Thirty issues with non-compliance to the CCRs (all but 4 resolved), excessive speeding (two large dogs were hit and died), and roaming dogs (these dogs killed the Park weasel who was killing the pot-guts that were ruining the Park lawn). Eleven vacant lots remain. MA will maintain streets and lighting. Optional roofing materials need to be approved by the Arch. Com. Master Association gave SSSF only one vote though it comprises 43% of the of the revenue for the park and MA fees. Twelve associations each have one vote. The original developers dropped the ball, the homeowners were put in the situation of doing the developers job of completing the park, tennis park, enjoyment easement, and care of all common areas as a master association.
Street names on official plats were petitioned for change. Silver Lake Court is now Fletcher Court. Willow Creek Road is now Willow Lane. Silver Creek Loop is now Willow Loop.

Major Events: Last two years had the largest number of home starts in SSSF. Arch Com very busy.; Master Association organized by developer Michael Barnes and County. “Silver Springs Homeowners’ Association” name relinquished to the MA, we are now “Silver Springs Single Family Homeowners’ Association.” Developer recorded documents from 1979 forward apply to the Silver Springs East Community (now the MA) unless are the SSSF plats and Phases 1A-1E.; Heinz Somek cleans and repairs our street lights. Bonnie Adams working with County to re-line streets with a dedicated bike lane. Ligety-Sharp (Lot 193) bought Parcel K from American Savings, then they built an out of compliance fence to keep homeowners from Parcel I and lake access. Much time and funds for attorney work was expended on this grasp of rights.

Major Events: June 7, 1989 Special Membership Meeting regarding formation of a Master Association which will take over the Silver Springs Homeowners’ Association documents, responsibilities for common areas, new Park Parcel H, and work with SSW Co. Our subdivision to yield the name SSHA for new name Silver Springs Single Family Homeowners Association.; American Savings having bankruptcy issues. Ligety-Sharp want to keep Parcel K from being used as a homeowner access to the big lake, they want to buy it to annex into their personal property to prevent homeowner use of buffer area Parcel I. ; Dick Mitchell wrote guidelines for TV dish antennas, and satellite dishes in response to many complaints from homeowners of where neighbors are installing the equipment. The walkway easement between Lots 75, 76, 166, 167 is on title reports, on plat maps and known to residents. Letter was sent to Gunter, Stalsbery, Puttuck, Hodge to remind them to keep the easement available to homeowners.

Major Events: Request to Commissioner Tom Flinders for vacuum street sweeper. Continue to ask County not to spread gravel and salt on our street during the winter. SS Water Company increases rates. Prototype for new stop signs to complement mailbox design. Utah v. James V. Crestani, Brief 870525-CA – State alleged withdrawals made by Crestani were unlawful because all of the money deposited into MMD-2 was escrow money belonging to the customers of Alta Title Company. Crestani and Ray Fry were parties to the underdrain and bond release agreement with Summit County.

Major Events: Silver Springs Water Company is not maintaining the culinary water and the buffer areas in good repair as agreed. Worker at Torman’s Double Take broke an irrigation line then turned off the main to the subdivision leaving residents without water for two days. No one from the water company available to contact residents who were now receiving cola cola colored water and dirt sediment filling toilet tanks and water heaters. Ligety-Sharp begin campaign to issue I.D. cards to residents for use of lakes and parks.

James V. Crestani of Alta Title Co. authored this 35 page Declaration, he names himself Trustee Successor in interest to SSD, Inc. Partnership: Amended Declaration to CC&Rs for SSD Subdivisions on April 15, 1982 Entry 190498 authored and signed solely by James V. Crestani. [See Utah v. James V. Crestani (wife Vicki) No. 870525-1987 – Crestani charged with stealing $57,300 from commercial bank account known as MMD-2 an escrow account belonging to the customers of Alta Title Co. during the period of May 7 to August 13, 1982. Findings were that Crestani had co-mingled escrow funds with personal funds. Raymond Fry testified on Crestani’s behalf. Fry repaid Crestani a loan in the amount of $24,622.50 on June 28, 1982. On September 28, 1982 Fry paid Crestani $8,865.43 out of his 5300 South Partnership closing.] (Raymond D. Fry builder-recorded Entry 193367 on June 25, 1982 without authority.) Our HOA experts unanimously advise association boards to appoint to committees Members who may erroneously be construed to be troublemakers. “The proof of the pudding is in the eating,” “The proof of a troublemaker as a HOA leader is whether they have the capability to contribute.” (Steve Jobs, Bill Gates, Richard Branson, Einstein)
“We always say, ‘Keep your friends close and your enemies closer.’ Every association has somebody who thinks they can do a better job than people currently serving. We say appoint them to committees and see how serious they are about putting in the time it takes to serve in their HOA. The association is made up of a lot of different people. Sometimes giving vocal Members insight into what a board actually deals with can be useful. Always try to err on the side of inclusion because people learn to work together when they are allowed to be involved.”
“Initial reactions are to not appoint active types. We recommend letting the squeaky wheel get the grease. If you have some one who thrives on getting things done, give them something to do. If you have some one who is an experienced or long-time resident who enjoys rattling off information or reminding the board by quoting documents, make them the board parliamentarian. Don’t fight the force of energy, capture it to benefit your association.
The upshot of denying equality or opportunity to a frustrating owner is that the board has to follow the law. If witnesses agree the board has been dismissive, rude, provided misinformation, and denied reasonable access to inclusion options you can be shooting yourself in the foot. If the board ostracizes a member for seeking First Amendment rights by complaining about treatment received at the whims of the board, the board is opening themselves to a lawsuit. Charges can be brought against the board for breach of their fiduciary duties as they apply to member equality and fairness. It is better that you should err in trusting than to be unjust in doubting.
